The Court hereby appoints Daniel A. Pollack, 245 Park Avenue, New York City, as Special Master to conduct and preside over settlement negotiations between and among the parties to this litigation.

Order for Appointment of Special Master

1. The Court hereby appoints Daniel A. Pollack, 245 Park Avenue, 
New York City, as Special Master to conduct and preside over 
settlement negotiations between and among the parties to this 
litigation. 
2. The Special Master may conduct and preside over such
negotiations publicly or in camera, in whole or in part, and shall
also be empowered to confer with the parties ex parte in his sole
discretion.
3. The Special Master is not expected to file a report of the
negotiations, but shall have the right to confer with the Court at
such times and in such manner as he deems necessary and
appropriate in his sole discretion. The Special Master shall not
displace the Court in any respect and shall have no responsibility
for or power to make any rulings of any kind in this litigation.
4. The Special Master shall have the right to use such other
support persons (both lawyer and non-lawyer) to assist him in the
carrying out of his responsibilities as he deems necessary and
appropriate in his sole discretion.
5. The compensation of the Special Master, including fees and
expenses incurred by him and others who assist him, shall be the

Capital Management and Aurelius Capital Management, and shall
be borne equally between these two sides. All invoices of
the Special Master shall be due and payable when
rendered and the parties are instructed by the Court to
pay all such invoices promptly.
6. The parties are instructed to give full co-operation to
the Special Master .in all respects in the negotiations and
to provide the Special Master promptly with any and all
information he may appropriately request and any and all
logistical assistance which he may request.
7. The Court expressly finds that, in view of the limited
scope of this appointment, except as expressly set forth in
this Order the provisions of Rule 53 of the Federal Rules of
Civil Procedure shall be of no applicability to this
appointment and compliance therewith shall not be
required of the Special Master.
