The Notes will be issued in registered form, in denominations of
U.S.$200,000 and multiples of U.S.$1,000 in excess thereof. The
Notes will be represented by a Regulation S Global Note Certificate
and a Rule 144A Global Note Certificate. The Regulation S Global
Note Certificate and the Rule 144A Global Note Certificate will be
exchangeable for Individual Note Certificates in the limited
circumstances specified in the Regulation S Global Note
Certificate and the Rule 144A Global Note Certificate.
